Marketplace: the section of the platform on which furniture from Resofa itself and/or from third parties is offered.
Seller: the party that offers furniture through the platform. This may be Resofa itself, a business seller or a private seller.
Buyer: the natural person or legal entity that purchases furniture through the platform.

Agreement: any agreement concluded through the platform or directly with Resofa.
Article 2 – Applicability
1. These general terms and conditions apply to all use of the platform, to every offer on the platform, to every sale through the platform and to every request or purchase of an upholstery service from Resofa.
2. By using the platform, the user agrees to these general terms and conditions.
3. If any provision of these terms is wholly or partially void or annulled, the remaining provisions shall remain in full force.
Article 3 – Role of Resofa
1. Resofa operates an online marketplace for buying and selling designer furniture.
2. Resofa additionally offers a separate upholstery service.
3. The marketplace and the upholstery service are separate services.
4. Purchasing furniture through the marketplace does not mean that upholstery is part of the purchase.
5. Upholstery takes place only after a separate request, quote and confirmation by Resofa.
6. Resofa may offer its own furniture on the platform as well as facilitate sales by third parties.
7. Resofa indicates per product whether the offer originates from Resofa itself, a business seller or a private seller.
8. For marketplace offerings from third parties, Resofa acts in principle as a platform intermediary and is not a contracting party to the purchase, unless expressly stated otherwise on the product page or in the ordering process.
Article 4 – Account and use of the platform
1. Registration may be required for certain functions of the platform, including offering furniture.
2. The user is responsible for accurate, complete and up-to-date account and contact details.
3. It is not permitted to use the platform for unlawful acts, misleading offers, fraud or offering goods that one is not authorised to sell.
4. Resofa may suspend or terminate accounts, listings or access to the platform in the event of misuse, fraud, violation of these terms or other valid reasons.
Article 5 – Offering furniture by sellers
1. A seller may submit furniture for review through the platform.
2. All offered furniture is first reviewed by Resofa before being published online.
3. Resofa has the right to refuse, not publish, modify an offer or request additional information.
4. The seller warrants that:
a. he or she is authorised to sell the furniture;
b. the information provided is accurate and complete;
c. the offered furniture does not infringe on third-party rights;
d. photos, brand references and descriptions are correct and not misleading.
5. Resofa may modify titles, descriptions, product categorisation, photo order and other presentation elements to make the offer clearer and more findable.
6. The seller understands and accepts that Resofa is not obliged to publish an offer.
Article 6 – Sales commission
1. When furniture is sold through the marketplace, the seller owes Resofa a commission of 10% of the final selling price.
2. Unless otherwise agreed, this commission is automatically deducted from the amount paid to the seller.
3. The seller is not entitled to any surcharge, additional revenue or supplementary percentage in connection with any upholstery order placed by the buyer.
Article 7 – Conclusion of the purchase
1. A buyer may purchase furniture directly through the platform or, if available, place a bid.
2. A purchase agreement is concluded as soon as the offer is accepted and the purchase is confirmed by or on behalf of the seller through the platform.
3. Resofa may refuse, interrupt or cancel an order or transaction in the event of obvious errors, technical malfunctions, pricing errors, incorrect data, suspected fraud or other reasonable grounds.
4. The content of the purchase consists exclusively of the offered furniture, unless expressly stated otherwise.
Article 8 – Who is the seller and who handles complaints
1. The product page or ordering process indicates whether the seller is Resofa, a business seller or a private seller.
2. If Resofa is the seller, Resofa is the contracting party to the purchase.
3. If a third party is the seller, the purchase agreement is concluded between the buyer and that third-party seller, unless expressly stated otherwise.
4. In the event of problems with the product, non-conformity, warranty, delivery or withdrawal, the buyer must in principle contact the seller of the relevant product.
5. Resofa may fulfil a mediating or supportive role in this regard, but is not obliged to do so, unless Resofa is the seller itself.
Article 9 – Prices and payment
1. All prices on the platform are in euros and include VAT, unless expressly stated otherwise.
2. Any delivery costs, service charges or other additional costs are clearly stated before completing the order.
3. Payment is made via the payment methods offered by Resofa on the platform.
4. Resofa may require advance payment before proceeding with delivery or release of an order.
Article 10 – Delivery and shipping
1. Delivery of furniture sold through the platform is carried out by Resofa or by Bringz.
2. Delivery times are indicative, unless a strict deadline has been expressly agreed in writing.
3. The buyer must ensure that delivery at the specified address is reasonably possible.
4. If delivery proves impossible due to incorrect address details, absence, inaccessibility or other circumstances on the buyer's side, additional costs may be charged.
5. Resofa or the seller will inform the buyer as soon as possible in the event of delay.
Article 11 – Condition of the furniture
1. Many pieces of furniture on the platform are second-hand, vintage or used.
2. The buyer must take into account normal signs of use, age marks and minor deviations that are consistent with the nature of the furniture.
3. Visible or known features, damage or defects are displayed as much as possible in the product description or photos.
4. The furniture must comply with what has been expressly agreed in the offer and the agreement.
Article 12 – Right of withdrawal and consumer rights
1. Whether the buyer is entitled to withdrawal, return or other consumer rights depends in part on the capacity of the seller.
2. If the buyer purchases from Resofa or from a business seller, the mandatory consumer rules apply insofar as applicable, including in many cases a cooling-off period of 14 days for distance purchases.
3. If the buyer purchases from a private seller, the statutory right of withdrawal does not apply in principle.
4. If no right of withdrawal applies to an offer, this will be clearly stated before completing the purchase.
5. Insofar as a statutory right of withdrawal applies, the buyer must report this within the applicable period in a clear manner to the seller or via the channel designated by Resofa.
6. Return costs are borne by the buyer, unless the law or the seller determines otherwise.
Article 13 – 10% voucher for upholstery
1. After a successful purchase through the platform, the buyer receives a voucher for 10% discount on an upholstery order at Resofa.
2. This voucher is only valid for online purchases made through the Resofa platform. The buyer does not receive a voucher from Resofa for purchases made outside the platform.
3. This voucher may be used for:
a. the furniture purchased through the marketplace; or
b. another piece of furniture belonging to the buyer.
4. The voucher is not redeemable for cash.
5. The voucher may be used once, unless Resofa expressly states otherwise.
6. The voucher cannot be applied retroactively to upholstery orders that have already been confirmed or completed.
7. Resofa may attach additional conditions to the voucher, such as a validity period, minimum order value or exclusion in combination with other promotions, provided that these conditions are clearly stated in advance.
Article 14 – Upholstery service
1. The upholstery service of Resofa is a separate service and does not form part of the marketplace purchase, unless expressly agreed otherwise in writing.
2. A request for upholstery is considered a request for information or a quote.
3. An upholstery order is only concluded after Resofa has expressly confirmed this order or quote.
4. Resofa may use additional terms for upholstery orders. If so, these will be provided before or at the time of concluding the agreement.
Article 15 – Cancellation, suspension and fraud
1. Resofa may suspend, block or cancel an offer, order, account or transaction in the event of suspected fraud, misuse, obvious errors, duplicate listings, incorrect price statements or violation of these terms.
2. In such cases, Resofa may temporarily withhold payments until sufficient clarity has been obtained.
Article 16 – Liability
1. To the extent permitted by law, Resofa is not liable for indirect damage, consequential damage, lost profits or missed savings.
2. If Resofa is liable despite the foregoing, such liability is limited to the amount paid out by its liability insurance in the relevant case, and in the absence thereof, to the amount Resofa has received in connection with the relevant transaction or service.
3. If Resofa acts solely as a platform intermediary for a sale by third parties, Resofa is not liable for defects in the furniture, incorrect product information from the seller or shortcomings in performance by that seller, except insofar as the damage is the result of intent or deliberate recklessness on the part of Resofa itself.
4. Nothing in these terms limits rights to which consumers are mandatorily entitled.
Article 17 – Complaints
1. Complaints about the platform, payments, the upholstery service or products sold by Resofa itself can be submitted via Resofa's contact details.
2. Complaints about products from third parties must in principle be directed to the relevant seller.
3. Resofa can provide support in handling complaints between buyer and seller.
4. Resofa aims to handle complaints within a reasonable period.
Article 18 – Intellectual property
1. All intellectual property rights relating to the platform, the design, texts, logos and content created by Resofa belong to Resofa or its licensors.
2. It is not permitted to copy, publish or otherwise use these without prior written consent, except insofar as permitted by law.
Article 19 – Privacy
1. Resofa processes personal data in accordance with applicable privacy legislation and its privacy statement.
2. The privacy statement forms an integral part of the use of the platform.
Article 20 – Applicable law and competent court
1. These general terms and conditions and all agreements to which these terms apply are governed by Dutch law.
2. Disputes shall be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.
These terms were established on 4 May 2026 and replace all previous versions.
